Quarters Terms of Service

Quarters Asset Services, SRL ("we", "our", "Quarters") offers a variety of digitally available productivity tools including a mobile application ("Services"), application programming interfaces ("APIs"), and websites, including but not limited to quarters.ai, and app.quarters.ai (the "Websites"). Quarters Asset Services SRL is located in Str. Piata Presei Libere nr. 1, Casa Presei Libere A3, floor 1, Bucharest, Romania. The terms and conditions ("Terms") described within this document apply to all of the Service's users. Quarters has three types of users, depending on the Quarters products used:

  • "Visitors" who are interacting with the Website or Services in an unauthenticated manner
  • "Free Users" who created an account and have access to the Service either with a complete or limited feature set
  • "Subscribers" who have full access to the feature set of the Service

These "Terms" refer to these three types collectively as "Users" or "you" and create a legal agreement directly between you and Quarters and explain the rules for use of the Service. By accessing and using the Service you acknowledge that you have read, understand, and accept all of the terms and conditions contained in this Agreement, as well as our Privacy and Cookie Policies.

1. Eligibility​

To be eligible to use any of the Quarters Services, you must be, and represent and warrant that you are, at least 13 years of age and competent to agree to these Terms. You must also reside in a country in which the relevant Quarters Services are accessible.

2. Services​

The following services may be provided to you by Quarters:

A. Data Recording Services​

The Services may facilitate the recording of trends and fluctuations of time-series.

B. Survey Services​

The Services may allow registered users to create surveys and distribute those to be completed by visitors and unregistered Visitors ot Third Parties that have been invited to complete the survey.

C. Automation Services​

The Services may allow the user submissions to automatically transferred to external systems that are chosen by the user.

3. Account Setup​

A. Account Registration and Confidentiality​

​In order to use the App, Service, and Websites, you must create a Quarters account with a username, email, and password. You must ensure that the information you provide is accurate, complete, and up to date. We will consider any communication submitted from your account to have been made by you. You must keep your password confidential and secure. By creating an account, you accept full responsibility for all activities that occur under your username and password.

B. Third-Party Access​

You grant the Service permission to share data from your account ("Transferred Data") to a Third Party Service of your choosing. You are solely responsible for the proper functioning and security of the Transferred Data recipient. You are responsible for any losses that may occur as a result of such a data transfer due to misconfiguration, errors, or unauthorized access from your account. Further, you acknowledge and agree that you will not hold Quarters responsible for, and will indemnify Quarters from, any liability arising out of or related to any act or omission of any Regulated Third Party with access to your Quarters Account(s).

C. Unauthorized Account Use​

You agree that it is your responsibility to inform us via email if you become aware of any unauthorized use or access to your account. You acknowledge that we may request information to confirm your identity and help ensure the security of your account. You will be liable for losses, damages, liability, expenses, and attorneys’ fees incurred by Quarters or a third party due to someone else using your account, and; Quarters will not be liable for any loss, damages, liability, expenses or attorneys’ fees that you may incur as a result of someone else using your password or account, either with or without your knowledge and/or authorization and regardless of whether you have or have not submitted a notice of such unauthorized use.

D. Identity Verification​

You agree to provide us with the information we request (which we may request at any time deemed necessary) for identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crime, and permit us to keep a record of such information.

4. Our Rights​

Quarters owns and operates the Services, Websites, and APIs, which contain material such as software, design, text, photographs, and other content. This material is protected by global copyright laws and other intellectual property laws. By using the Service and Websites, you commit to following all relevant copyright laws and any specific copyright notices or limitations included in them.

You are not permitted to use any material from the Service and Websites without permission. If you believe that the Service and Websites infringe on any rights, you must notify Quarters immediately. Any unauthorized use of any material contained on or through the Service and Websites may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

5. User Content​

A. User Content​

The Service allows you to create submissions and associated information, text, files, and other materials (collectively, “User Content”), share that User Content with others and receive User Content from others.

The Services allow you to generate, submit, store, share, receive, collect, capture, and/or visualize data, information, files, or other content, including third-party content used by you. You retain all rights, responsibility, and liability for all Content. Quarters does not claim ownership of your Content. The Services are provided to you as the User of the Services.

B. Submissions​

By submitting Content, you grant Quarters a license to access, use, copy, reproduce, process, adapt, publish, transmit, and display that User Content, as permitted by the Privacy Policy, including if required to do so by law or in good faith to comply with the legal process. We reserve the right to remove any User Content on the Service that violates these Terms or that is otherwise objectionable in Quarters' sole discretion.

C. Feedback​

The Websites or Services may have certain features that allow you to submit comments and other information regarding your experience or to report issues. By submitting Feedback you grant Quarters a license to access, use, copy, adapt, publish, transmit, host, display, and share such feedback with other users, employees, subcontractors, or the public, for any purpose. Quarters reserves the right to remove any Feedback posted in public forums for any reason at our sole discretion.

D. Content Representations​

You understand that Quarters does not control, and is not responsible for, User Content or "Feedback", and that by using the Service and Websites, you may be exposed to User Content or Feedback from other users that is misleading, indecent, inaccurate. You acknowledge that User Content and Feedback may contain typographical errors, other inadvertent errors or inaccuracies.

6. License and Acceptable Use​

A. Your License​

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Service and Websites. The use of the Service and Websites are limited to your internal use and you must comply with all legal requirements that apply to you or your use of the Service and Websites, including the Privacy Policy and these Terms.

Quarters reserves the right to terminate or restrict your access to the service at any time, without notice, for any violation of these terms or any other reason.

B. Acceptable Use​

All Users and Visitors must comply with the following rules regarding acceptable use of the Service and Websites.

You are prohibited from:

  • Accessing or manipulating non-public areas of the service, computer systems, or the systems of our providers
  • Attempting to breach or bypass any security or authentication measures
  • Accessing the service through means other than the publicly supported interfaces
  • Intentionally overwhelming service infrastructure with excessive requests or burdens
  • Disrupting or interfering with the access of any user, host, or network, including through the use of viruses, spamming, mail-bombing, or scripting that creates an undue burden on the service

You are not allowed to post any content on the Service or Websites that:

  • Advertising or promoting products or services that are not your own without proper authorization
  • Impersonating someone else or falsely claiming to be associated with a person or entity in a way that deceives others
  • Sending unsolicited messages, advertisements, or spam
  • Posting or linking to harmful content that can damage or disrupt another user's browser or computer
  • Includes any personal information of minors
  • Misleads, cheats, breaks the law, is offensive, sexual (including child pornography, which, if found, will be removed and reported to authorities, including the National Center for Missing and Exploited children), insults, lies or threatens, promotes hate speech, harassment or stalking
  • Includes any sensitive personal information, such as financial information, payment card numbers, social security numbers, or health information without Quarter's written permission as part of a Customer Agreement
  • Includes viruses, bots, worms, or similar harmful materials
  • Includes any information that you are not legally entitled to share or any information that goes against a contractual or fiduciary duty

You are also prohibited from using the service for any illegal or unauthorized purpose, including but not limited to:

  • Violating any applicable laws, including but not limited to copyright and trademark laws
  • Violating anyone’s right to privacy or publicity
  • Interfering or disrupting the service or servers or networks connected to the service
  • Attempting to gain unauthorized access to the service or other users' accounts
  • Using the service to transmit any viruses, malware, or other harmful code
  • Using the service to engage in any other behavior that is deemed by Quarters to be offensive or unacceptable

Additionally, any misuse of the service and websites is prohibited.

7. Privacy​

Information about how we collect, use, and share the data from and about you is detailed in the Privacy Policy document.

8. Limitation of Liability​

The Service and Websites are made available solely for internal use. We shall not be held liable for any loss of profit, business interruption, or loss of business opportunity resulting from the use or reliance on the Service and Websites. In no event shall our liability to you be limited or excluded, except as may be prohibited by law. This includes liability for death or personal injury resulting from our negligence or that of our employees, agents, or subcontractors, for fraud or fraudulent misrepresentation, and violation of your legal rights concerning the Service and Websites.

The content provided through the Service and Websites is intended for general informational purposes only. We do not verify the accuracy, completeness, or value of the information. Any reliance on such information is strictly at your own risk.

A. No Advice​

We do not provide advisory services or make recommendations regarding financial instruments. Our services do not include the assessment of instrument appropriateness and as a result. While survey data presented may provide information about financial instruments, such information should not be considered investment advice.

B. Provision of Information​

The Service and Websites may provide financial and market data, news, and research under license from third-party providers. The information is for general use only, not personalized to individual financial circumstances, and is not intended as investment advice.

C. Service Changes​

Quarters reserves the right, with or without notice, to alter, modify, suspend, or discontinue any of the Website or Services, entirely or partially, and at any time. You acknowledge and agree that Quarters shall not be responsible or liable, directly or indirectly, to you or any third party for such actions.

The Service and Websites may include information, resources, content, and advertising provided by third parties. Such information may be included as part of the Website or Service content or referenced through the use of links. Quarters is not responsible or liable for any omissions or errors regarding the information presented by these third-party providers. You acknowledge and understand that your interactions with such third-party providers are solely governed by the third-party provider's own terms and agreements. You further acknowledge and agree that Quarters shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any linked sites or resources.

E. Viruses​

You understand that we cannot and do not guarantee that files available for downloading from the Internet or our Service or Websites will be free of viruses or other destructive code. It is your responsibility to have proper anti-virus protection and data accuracy procedures, as well as a backup method for lost data.

9. Changes to this Agreement​

These Terms of Service may be modified frequently. We will attempt to send an update notification to inform you about how the changes to these terms may affect you. Please check this page periodically for updates. Quarters will comply with applicable legal obligations to provide you with notice of changed to these Terms. You acknowledge that your continued use of the Websites and Service, after such update constitutes your acceptance of the changes.

10. Applicable Law​

The applicable laws for these terms and their formation is Romanian law. If you are a European consumer, you can enjoy the benefits of the mandatory regulations and legal rights under your country's law. Consumers in the APAC region or UAE may also have access to these mandatory provisions and legal rights. Note that these Terms will not restrict a consumer's ability to exercise their local mandatory provisions and legal rights.

11. General Terms​

A. No waiver​

Not enforcing our rights or delaying enforcement of your obligations under these Terms does not mean we have waived such rights. Any waiver of a failure or breach by you must be in writing, and this does not automatically extend to future failures or breaches.

B. Severability​

Each paragraph of these Terms is independent. If a court or authority deems any of them unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
